TERMS OF USE

These Terms of Use (“Terms”) are a legally binding agreement between you (“you,” “your”) and Kiey Holdings Ltd. (“Kiey,” “we,” “us,” “our”) governing your access to and use of kiey.com, and any related websites, mobile applications (including TestFlight/beta builds), products, features, content, APIs, and services we make available (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

1) Eligibility and Account Use

• You must be at least 16 years oldto use the Services. If you are under the age of majority where you live, you may use the Services only with the consent and supervision of a parent/guardian.
• If you use the Services on behalf of a company or other entity, you represent you have authority to bind that entity to these Terms.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2) Privacy and Data Processing

Our Privacy Policy explains how we collect, use, share, and protect personal information, and describes your rights and choices. By using the Services, you agree that the Privacy Policy is incorporated into and forms part of these Terms.

3) Changes to the Services and Terms

We may update the Services and these Terms from time to time. When we make changes, we will update the “Last Updated” date above. If changes are material, we may provide additional notice (e.g., in-app notice or email). Your continued use of the Services after changes become effective means you accept the updated Terms.

4) License to Use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use, as applicable.

5) Prohibited Conduct

You agree not to (and not to help anyone else):

• Use the Services for unlawful, harmful, fraudulent, or abusive purposes
• Attempt to bypass security, access non-public areas, or probe vulnerabilities
• Scrape, crawl, or use automated tools to access the Services except as permitted by us in writing
• Interfere with or disrupt the Services (including through malware, excessive requests, or spamming)
• Reverse engineer, decompile, or attempt to extract source code (except where prohibited by law)
• Impersonate others or misrepresent your identity or affiliation
• Upload or transmit content that infringes IP rights or violates privacy/publicity rights
• Use the Services to build or enable a competitive product using our confidential information or non-public features

We may suspend or terminate access for violations.

6) User Content (Submissions and Contributions)

If you submit, upload, transmit, or otherwise make available content through the Services (“User Content”), you:

• Represent you have all rights needed to provide the User Content
• Agree your User Content must comply with these Terms and applicable laws

License You Grant to Kiey

You grant Kiey a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, display, distribute, and otherwise use your User Content only as necessary to operate, provide, improve, and promote the Services (and to comply with law).

You retain ownership of your User Content, subject to the license above.

7) Feedback

If you provide suggestions, ideas, or feedback (“Feedback”), you grant us the right to use it without restriction or compensation to you.

8) Purchases, Subscriptions, and Billing (If Applicable)

If the Services include paid features:

• You agree to provide accurate billing information and keep it updated.
• Prices may change; we will provide notice as required by law.
• If you enroll in a subscription, you authorize us (or our payment processor) to charge your payment method on a recurring basis until you cancel.

App Store Purchases

If you purchase through Apple App Store or Google Play, those transactions are governed by the applicable store’s terms, and refunds/cancellations may be handled by the store.

Refunds

Unless required by law, fees are non-refundable and all sales are final.

9) Third-Party Services and Links

The Services may link to or integrate with third-party websites, products, or services (“Third-Party Services”). We do not control and are not responsible for Third-Party Services. Your use is at your own risk and subject to the third party’s terms and policies.

10) Intellectual Property

The Services, including all software, designs, text, graphics, logos, trademarks, and other content (excluding User Content), are owned by Kiey or its licensors and are protected by IP laws. You may not copy, modify, distribute, sell, or lease any part of the Services except as expressly permitted.

11) Beta Features (Including TestFlight)

Some features may be offered as beta, preview, or early access (“Beta Features”). Beta Features may be unstable, change without notice, or be discontinued. To the maximum extent permitted by law, Beta Features are provided “as is” without warranties.

12) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the Services will be uninterrupted, error-free, or secure.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIEY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

IN ALL CASES, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO KIEY FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 USD IF YOU HAVE NOT PAID ANY FEES), UNLESS REQUIRED OTHERWISE BY LAW.

Without limiting the foregoing, Kiey shall not be liable for any claims, damages, losses, injuries, or disputes arising from services provided by vendors or agents, including but not limited to property damage, personal injury, negligence, breach of contract, fraud, or failure to perform services.

14) Indemnification

You agree to defend, indemnify, and hold harmless Kiey and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Services
• Your User Content
• Your violation of these Terms or applicable law
• Your infringement of any rights of another party

You further agree to indemnify and hold harmless Kiey from any claims, demands, lawsuits, damages, or losses arising out of or related to services performed by you or any interactions, agreements, or disputes between users of the Services.

15) Suspension and Termination

We may suspend or terminate your access at any time if we believe you violated these Terms, pose a risk to the Services, or as required by law. You may stop using the Services at any time.

Sections that by their nature should survive termination will survive (including IP, disclaimers, limitation of liability, indemnity, and dispute resolution).

16) Dispute Resolution and Class Action Waiver

Informal Resolution First

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for 30 days.

Binding Arbitration (Where Permitted)

If we cannot resolve the dispute informally, you and Kiey agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration, except for:

• claims for injunctive relief regarding IP or unauthorized access
• small claims court matters (if eligible)

Unless prohibited by applicable law, arbitration will be administered by a recognized arbitration provider (e.g., AAA or JAMS), conducted in English, and held in Illinois, USA (or remotely, if agreed).

No Class Actions

You and Kiey agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

17) Marketplace Platform; No Endorsement; No Liability for User Conduct

Kiey is a technology platform that facilitates communication between real estate agents, vendors, clients, and other users. Kiey does not provide home services, contracting services, repair services, or any other professional services.

Kiey does not employ, recommend, endorse, vet, screen, supervise, control, or guarantee any vendor, agent, or user on the platform. Any vendors listed, displayed, or communicated through the Services are added solely by real estate agents or other users. Kiey does not verify licensing, insurance, qualifications, background checks, certifications, pricing, or quality of work.

Any engagement, agreement, transaction, or service performed by a vendor or agent is solely between the applicable users. Kiey is not a party to any agreement between users and assumes no responsibility or liability for any services performed, communications made, payments exchanged, property damage, personal injury, financial loss, delays, defects, disputes, or misconduct arising out of or related to interactions between users.

Kiey is not a broker, contractor, insurer, employer, agent, joint venture partner, or representative of any user. Nothing in the Services creates a partnership, employment, agency, or joint venture relationship between Kiey and any vendor, agent, or user.

Users assume all risk when engaging with other users through the Services.

18) Governing Law

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of law rules, except where local law requires otherwise.

19) Miscellaneous

• If any provision is unlawful or unenforceable, the rest remains effective.
• You may not assign these Terms without our written consent; we may assign them as part of a corporate transaction.
• These Terms (and the Privacy Policy) are the entire agreement between you and Kiey regarding the Services.
